英文契約書の和訳について
某米国企業とのライセンス契約書の和訳をしているのですが
下記の条文で立ち止まっております。
ざっくりでいいので和訳をお願いできないでしょうか？
○ライセンス契約について
Recipient agrees that if Recipient provides A-company with any suggestions, comments, or other feedback about the Evaluation Materials (“Feedback”) such Feedback is given voluntarily.
Recipient also agrees that even if Recipient designates such Feedback as confidential, unless the parties enter into a separate subsequent written agreement,
the Feedback will not be confidential and A-company will be free to use, disclose, reproduce, license, or otherwise distribute or exploit the Feedback in its sole discretion without any obligations or restrictions of any kind, including without limitation, intellectual property rights or licensing obligations.
Recipient represents and warrants that it will not provide A-company with any Feedback that is subject to license terms that seek to require any A-company product, technology, service or documentation incorporating or derived from such Feedback, or any A-company intellectual property, to be licensed or otherwise shared with any third party.
