英文契約書
教えていただけないでしょうか。 取引条件の文書で"No partial delivery shall be made."の中の"partial delivery "とは何と翻訳すればいいのでしょうか。ど素人ですみません。 よろしくお願いいたします。

こんにちは。 今、英文契約書の和訳をしているのですが、どうしても解釈にとまどっているところがあり、助けて頂きたく思います。 完璧な和訳でなくても良いので、大体の意味をつかみたいです。 以下の文章です。 No Waiver（権利不放棄） No failure or delay of one party to require performance by the other of any provision of this Agreement shall in any way adversely affect such party's right to require full performance of such provision after that, unless expressly made by that party in writing. No waiver by one party of a breach of any provision of this Agreement shall be taken to be a waiver by such party of any suceeding breach of such provision. 少しでも分かる方、お力を貸して下さい！ 宜しくお願いします。

個別契約に関する項目で、解らない文章がありましたので質問致しました。 "However, any details common to each Individual Contract may be separately agreed upon in advance, and incorporated in a separate common agreement or each individual contract. The terms of such common agreement or individual contracts, as the case may be, shall, wherever in-consistent, with or absent in this agreement, shall supersede this agreement." 下記は私が翻訳した文章ですが、"a separate common agreement "や"as the case may be, shall, "の箇所がうまく訳せませんでした。 特にshallは以降のshall supersedeと重複している様に感じるのですが、shallの直後に動詞が省略されているのでしょうか。 「しかし、各個別契約に共通する任意の詳細は、別途、事前に合意され、共通の同意または各個別契約に組み込むことができる。矛盾や存在しない項目がある際は、場合によって、この共通の合意や個別契約の詳細が優先されなければならない。」 お力添えどうぞよろしくお願い致します。

Basic Purchase Agreement(取引基本契約？）を訳していますが、下記の部分でつまずいてしまいました。 "In principle, the price of every delivered article shall be agreed between the Parties based on the quotation and its supporting documents submitted from Supplier in writing or in electronic form to AAA." この文章に出てくる"delivered article"とは納入品と訳せば良いのでしょうか、それとも条款のことを指しているのでしょうか。 よろしくお願い致します。

英文契約書を勉強していますが、文が長くなると、どこで区切って理解していいのか分からなくなって、困っています。少し長いですが、訳を教えていただけると助かります。 Unless otherwise provided in this Agreement, all payments made hereunder by the Parties hereto shall be made in full and shall not be released, discharged or otherwise effected by, or subject to, any claims, set-off, counterclaim, defence, deduction, dimution, abatement, repayment, suspention, deferment, reduction or other rights which the Parties hereto or any individual, corporation or any other entity of whatever nature may have based upon any claim at any time and from time to time may bring against the parties hereto in connection with any unrelated transactions. 本契約書に示されない限り、当事者により行われる支払いはすべて、全額でなければならずの所までは何とか訳せたのですが、その先が長く複雑で理解できずに困っています。どなたかご教授いただければ、ありがたいです。よろしくお願いします。
