Under the Revised Model Business Corporation アメリカの会社法からです。会社を解散するときに株主に対して、解散時の株の時価に対して会社は支払う義務があるそうですが下記の文章は株式交換のことを述べているのでしょうか。 Under the Revised Model Business Corporation Act, the following action would entitle a stockholder to dissent from the action and obtain payment of the fair market value of his/her shares. That is Consummation of a plan of share exchange to which the corporation is a party as the corporation whose share will be acquired, if the stockholder is entitled to vote on the plan.
