英文の契約書の和訳の添削をお願いします。 契約書を英文から日本語に訳しているのですが、この訳はおかしくないでしょうか。 (１)the other Party fails to cure, to notifying Party’s reasonable satisfaction, any breach of its obligations under the Contract within thirty days after notice of that breach. いずれかの当事者が本契約に違反した場合、相手からの催告を要せず、当該催告を受けた日から３０日以内に違反事実を是正しないとき ・これで大丈夫でしょうか。 (２)Buyer has carefully read, sufficiently understood and voluntarily accepted such provisions. 買主は( carefully read )、( sufficiently understood )当該条項等に合意したとする。 ・ここの(括弧)内の正式な表現が浮かびません。 また、 ・anti corrupution law ・confirmed orders ・shipping instruction この３つの単語の日本語訳が知りたいです。 よろしくお願いします。 .

下記の和訳をお願いします。 "In the event that the company fails to pay any amount payable hereunder as and when such amount becomes payable and such failure continues for a period of more than 30 days after the due date and whenever there shall be a breach of any provisions of this agreement by the company, the Servicer may terminate this agreement and shall be compensated for all costs and damages that may be incurred and suffered by the Servicer." 上記の文中で特にわからないのは、"whenever there shall be a breach of any provisions of this agreement by the company"と言う部分で、支払いの不履行と同時に何らかの規定違反がなければ弁済は免責されるという事でしょうか？ 因に以下が私の和訳です。 よろしくお願い致します。 「『会社』がこの記載に従った支払いが満期を迎えても行わず、それが支払い期日を30日以上過ぎても継続して行われなかった場合、かつ、本契約のいずれかに規定違反がある場合、サービサーはこの同意契約を終了し、被った費用及び損害全てを弁済されなければならない。」

英文契約書でわからない箇所がありましたので質問致します。 "Neither the Company nor the Servicer shall be in default for non-performance of their obligations due to any event beyond the reasonable control of either party." とありますが、この場合、shall be in default は債務不履行にあたると言うことを意味しているのでしょうか？ また、下記の分を和訳しましたがあっているでしょうか？ "The non performing party shall give notice and full particulars of such cause or causes in writing to the other party as soon as possible after the occurrence of the force majeure event." 「非履行者は、不可抗力が発生した際は直ちにもう一方の当事者に通知し、その詳細を書面にて通達しなければならない。」 どうぞよろしくお願い致します。

英文契約書の訳が分かりません。 契約書に使用される英文を勉強しています。 そこで例文でわからない表現があるので、ご教授していただきたいです。 例文は以下です。 Article 20 (FORCE MAJEURE) Neither party shall be liable to the other party for any loss or damages due to any cause beyond the reasonable control of the party, including but not limited to strike, insurrection, change of law, war, or similar events which the contracting parties are unable to prevent or neutralize despite the required care and adequate expenses. 不可抗力についての文章ですが、最後の「despite the required care and adequate expenses.」という表現がよく分かりません。 何方かご教授して頂けませんでしょうか。 宜しくお願い致します。 m(_ _)m

If the validity, legality and enforceability of any provision is held to be excessively broad as to duration, activity or subject, such provision shall be construed by limiting and reducing such provisions so as to be enforceable to the maximum extent compatible with applicable law. の訳は、 「本契約の条項の有効性、適法性および執行可能性が、期間、活動または対象に関して過度に広汎であると判断された場合、当該条項は、制限および縮小されることにより、適用法に適合する最大限の範囲まで執行可能であると解釈されるものとする」 となるのでしょうか。 construed が何と解釈されるのかがわかりません。 よろしくお願いいたします。

下記の英文が訳せませんでした。 お力添えお願い致します。 "The failure or delay of either Party to require performance by the other Party of any provision of this Agreement shall not affect its right to require performance of such provision nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy." 感覚的な解釈ですが、、、 怠慢や遅延によって、一方の契約者が相手の債務不履行を指摘しなかったとしても、権利放棄にはならない、と言う事を言いたいのだと思いますが、"nor shall ～power or remedy."までがうまく和訳できません。 また、そもそも、私の解釈が正しいのかも確証が持てません。 要所だけでも構いませんので、和訳をお願い致します。

Each party represents that it has caused this Agreement to be executed on its behalf by a representative empowered to bind that party. という文章は、 「各当事者は、当該当事者を拘束する権限を有する代表者により、自己のために本契約を締結せしめたことを表明する。」という訳で良いのでしょうか。 「正当な権限を有する」というのは良く見ますが、「拘束する権限」というのはよく分かりません。定訳があれば教えてください。 どうぞよろしくお願いします。
