(1)vital は補語と理解しましたがあっていますでしょうか？
受け身になっていますが、vitalは補語なのでこの位置に存在すると解釈致しましが自信がございません。
(2)この受け身の部分を能動態にしましたが、以下であっていますでしょうか？
Tax office considered executives negotiations vital.
