The hybrid instrument
金融オプション取引の英書からです。下記はどのようなことをいっているのでしょうか The hybrid instrument is not recorded at fair value. Economic characteristics and risks of the embedded instrument are not "clearly and closely" related to those of the host contract. The embedded derivative must meet the definition of a derivative instrument.

■No.1のお礼欄にお書きになった．．． ＞デリバティブ部分は市場価格によって値洗い（"Mark to Market"）されるもの、つまり独立して価格を形成できるものであれば"is recorded"になるのですね つまり、derivative部分の市場価値を会計上計上するには本契約から分けろということでしょうか。 ．．．という点について ■その通りです。 ■複合商品に組み込まれたデリバティブ部分が上手く値洗いできない場合も実は多いのです。先に挙げた例などもごく当たり前に行われていますが、その解約オプションの執行の動機が純粋に金利情勢によるものであるのならよいのですが、「（今解約すると不利なのに）家を買うから」という「非経済合理的」な理由で解約権を行使するようなことも当然起こってまいります。このようなケースは派生商品としての公正価格の算定が難しいものと言えましょう。従ってこのような商品については分解されて会計はされない訳です。

■訳を求めていらっしゃるわけではないのかも知れませんが取り敢えず文意としては以下のようになると思います。 【試訳】 『複合商品』については公正価値での記録（記帳）はなされない。その複合商品に内包される経済的な特性やリスクは主契約のそれと明確かつ密接な関係があるわけではない。組み込まれているデリバティブ部分はデリバティブ商品としての定義に合致しなければならない。 ■お分かりになっている部分もあることとは思いますが、一通り説明を致しますと．．． (1) 『複合商品』とは通常のいわゆるオンバランス商品の契約に「特約」が付帯していて一体の契約を構成しているものです。例えば「満期5年の預金」に預金者による期限前の解約権を認めているようなケース。実はこの満期前の自由な解約権というオプションは金利情勢によって非常に価値があるものとなったり、ほぼ無価値になったり致します。しかしこの価値の変動はその評価を別途行おうとしない限りはその資産自体の価値変動に反映されません。この例で元本が10万円であればそのままでは「ただの10万円の預金」としてしか認識されないわけです。 (2) 一般にこのように「契約に『派生商品（デリバティブ）』が組み込まれている」ことを"embedされている"と表現致しますが、分解して認識されるデリバティブ部分は市場価格によって値洗い（"Mark to Market"）されるもの、つまり独立して価格を形成できるものであることが（会計的には）必要になります。最後の一文の意義はそういうことだと思われます。 ■補足ですが、日本の現在の会計原則（「新金融商品会計」）も米国のGAAPも会計上は複合商品の会計はデリバティブ部分を分解できるものは分解して会計するべき、という発想で構成されております。
