＞「同様に，株主の投票について正当化するわれわれの説明は，合併，あるいは資産の全てもしくは実質的に全ての売却が，まさに株主が投票すべき種類の問題であるという立場を明確にする。」 ⇒実に見事な訳文だと思います。一応、私の試訳も下記します。 「同様に、株主の投票権を正当とするわれわれの説明によって、合併に関する投票や、資産の全てまたは実質的に全ての売却関する投票は、まさに株主が投票すべき（投票で決めるべき）種類の問題であるということが明確になります。」 ＞are exactly のareはisでなければならないような気がするのですが，如何でしょうか？ ⇒isでもいいと思いますが、ただこの場合、voting on mergersと(voting on) the sale of all or substantially all of the assets とを「２つの事柄」とみなして、areを充当したのではないでしょうか。その証拠に、対応する補語であるthe sort of questionsも複数形になっています。

訳はあっています。are exactly the sort of questions はisではなくare。 主語が、 voting on mergers/the sales of all or substantially all of the assets と複数あり、それに呼応して補語のthe sort of questions と複数になっています。多分voting on (mergers or the sale) とvotingが単数と考えられたのでしょうし、それもありうるのですが、ここではvoting or the sale。なぜそれがわかるかと言うと逆に動詞がareで、questionsが複数だから。 以下私なりの訳。意味はjubuさんの訳と変わらないと思います。 「同様に、株主による投票の我々の正当性の説明は、合併に関する投票や、資産の全部や事実上すべての売却が、まさに株主たちが投票すべき種類の議題であることを明確にしている。」
