契約書の翻訳に困っております。下記の訳分かる方いましたらお願い致します。 1.all other terms and conditions of this Agreement will remain in force and effect excerpt those terms and conditions, which relate to exclusivity and the sales target, which shall be null and void. 2.It can be shown to be developed by ABC ltd, completely independent of any disclosure from XYZ ltd. 分かる方だけでも構いません。宜しくお願い致します。

上のほうの訳です。いい訳は見つかりましたか？気に入っていただけますように、、。 ・この契約書にかかる他のすべての契約条件は、無効とされるべき独占権と売上目標に関わる契約条件を除き

excerptはミスでは無いと思います。 *ex・cerpt （名） /ksrpt/ （本・書類などからの）抜粋；抄録, 引用（句）((from ...))； （学会誌などの）抜き刷り((from ...)) ・ excerpts from the magazine　その雑誌からの抜粋. ━━[動] /iksrpt | eks-/ (他)…を（…から）抜粋する；…を（…から）抄録する, 引用する((from ...)). ex・crp・tion つまり「それらの条項と条件を抜いてしまって」の意味で使われています。 契約書の一部だけを訳す場合、それらしく響く専門用語の使用は避けられた方が良いと 思います。専門用語は、特に法律用語は、概念が規定してあり前後との関係が合わないと 思わぬ誤用となります。

.●　all other terms and conditions of this Agreement will remain in force and effect excerpt those terms and conditions, which relate to exclusivity and the sales target, which shall be null and void. ひとつミススペルがあります。　一行目後半の『excerpt→except』 これで状況が見えて来たでしょう？ 訳すと、『独占的許諾権と年間販売目標額に関する条項は失効しますが、他の条項は有効に存続します。』 ●　It can be shown to be developed by ABC ltd, completely independent of any disclosure from XYZ ltd. これは秘密保持義務の適用除外の項目ですね。 XYZ（ライセンサー）の開示されたものと全く独立に、ABC（ライセンシー）によって独自に開発されたことが示されるべきである。

あくまでも参考程度に。他の回答も待ってください。 １　この契約の、無効となるべき独占販売権と販売目標に関する条項と条件に関するものを除外した、他の全ての条項と条件は効力を持ち有効であり続ける。 ２　それは、XYZ社からの何らかの開示とは全く独立にABC社により開発されたもので有ることを示せるものである。
