既に締め切りなっている以前のご質問なのですが、英文の誤った訳がそのままになっていたのでここで再掲させていだきました。 lien encumbrance mortgage (1) lienは、「先取特権」と「留置権」の2種類の意味がありますので、いずれの意味か特定されていない場合は、「リーエン」と訳すか、又は「先取特権・留置権」のようにしてください。「留置権」とは、「例えば、車の修理をした場合に修理代を支払うまでその車を渡さない」という意味です。 (2) encumbranceは、例えば土地などに妨害物を立てたり抵当権を設定することによってその土地の価値を低下させることです。いずれの意味か特定されていない場合は総称して「負担」と訳してください。 (3) mortgageは、文字通り「抵当」という意味です。 【英文】B Company shall warrant absolute title to the instruments and that all instruments delivered are free of any lien, encumbrance or mortage. 【訳文】B社は商品に対して無疵の権利を保証し、 納品されるすべての商品はいかなる担保権や債務、 あるいは抵当権がないものとする。 (1) 契約書でtitleという単語が使われている場合は、「権原」と訳してください。 (2) これだけでは断言できませんが、契約書でinstrumentsという単語が使われている場合は、「証書」と訳してください (3) 契約書でdeliverという単語が使われている場合は、「引き渡す」と訳してください 参考訳 B社は、当該証書に対する絶対的権原を保証するものとし、さらに、引き渡される全証書にリーエン、負担及び抵当権のいずれも設定されていないことを保証するものとする。

一番です。二番目の解説に追加します。 此処で「items」と「products]が出てきていますが、 「items」===商品以外の品目 「products」==商品そのもの 「items」は「商品の販売促進に寄与する商品以外の品目」「この品目には、勿論商品と同じもの、例えば、おまけ商品や、広告宣伝の為の無料ばらまき商品も含むことも有るでしょうし、又、本来は広告宣伝に供する有形無形の提供物」を指し示すものと私は解釈しました。

秘密保持契約の和訳をしていますが訳しにくい文があります。 1点目 For purposes of this agreement,information which can be readily shown to have been already known to recipient or generally known to the public,before disclosure to recipient by or with authorization from disclosure,shall not be treated as confidentioal proprietary information of disclosure という文の中で特にwhich以下のshallまでの節がどのような構文になっているのかわからず訳しにくいです。 単語から推測して「情報提供者の許諾によって被情報提供者に開示する前に容易に閲覧可能であり既に被情報提供者に知られているか一般的に知られている情報」となるかと思ったんですがあっているでしょうか? 2点目 recipient agrees not to make,use,or sell or disclose to others confidential information without first obtaining written authorization from disclosure to do so. という文で使われているmakeは「作る」ではしっくりこないのですが何か別の意味があるのでしょうか?ちなみに「被情報提供者は情報提供者からの文面による許諾なしに機密情報を他へ作成・使用・販売・開示しないことに同意する。」と訳したのですが問題ないでしょうか？ 3点目 recipient agrees not to encourage any third party to make,use or sell confidential information to implement it or an equivalent thereto,without first obtaining and receiving written authorization from disclosure to do so と言う文を「被情報提供者は情報提供者からの文面による許諾なしに、履行またはそれと同等の目的で第三者が機密情報を作成・使用・販売・開示することを促さないことに同意する」と訳したのですが問題ないでしょうか？特にimplementの訳と、どこにかかっているのかがよくわかりませんでした。 1点だけでもよいのでよろくしおねがいします。

Each Party (the “Recipient”) hereby agrees (a) that all Confidential Information (as defined below) of or relating to the other Party (the “Disclosing Party”) disclosed or communicated to the Recipient orally, in writing or in any other manner (including, but not limited to, demonstrations and plant visits), whether before or after the Effective Date, will be held in strict confidence and, except as expressly permitted herein, will not be disclosed to any other person or entity, (b) that the Recipient will use the Disclosing Party’s Confidential Information solely for the Purpose, (c) that the Recipient will safeguard the secrecy of such Confidential Information by following procedures at least as stringent, and with not less than a reasonable degree of care, as those used in safeguarding its own valuable confidential information and trade secrets and (d) that, other than as agreed to by the Recipient and the Disclosing Party, the Recipient shall not make any changes, modifications or enhancements to the Confidential Information, or reverse engineer, decompile, disassemble, alter, modify, or create any derivative work from such Confidential Information.
