本契約に規定する相互の約束およびその他の有効・有価な対価を約因とし、当該約因の受領と充足性を確認した上で、当事者は以下の通り合意する。 伝統的な英米法の理論では、契約が法的に強制可能なものであるためには、約因(consideration)が必要であるということになっていたそうで、さらに、その約因が現実に当事者間で受け渡されていなければならないとか、お互いにやり取りする約因が価値的にバランスしていないといけないとか（でも客観的にバランスしていなくても、当事者がバランスしていると認めれば良いとかいう理論もあるらしい）、いろいろ難しい理屈があるらしいです。 http://eng.alc.co.jp/newsbiz/hinata/2005/08/post_103.html 英米法の理論を本当に理解したいというのでなければ、意味的に重要なのは「当事者は以下の通り合意する」のところだけで、あとはおまじないみたいなものですから、私としては無視しても良いと思うのですが、前にそういう回答をしたら、他の回答者の方々からお叱りを受けたことがあるので、今回はそこまでは言わないでおきます。
