lesson 1 構文解釈 5 exclusive of something not including something [≠ inclusive of something]: → Our prices are exclusive of sales tax. （消費税を除く or 消費税は切り離す）故に、我々の価格は消費税を含まない。となる。 日本での売買であれば、100円の売価と５％の消費税を切り離して考えるのだから、売価と消費税を足した１０５円を支払うことで品物を手にすることができる。 lesson 2 termの読み方： the remedies (according to this Clause 13) are exclusive of any other remedy for non-conformity. 質問の構文は上記と同じ構造ですね。すれば、述部を除く or 述部は切り離す。 述部とは、その他の契約違反で生ずる補填金となる。主部は13条の法則で算出した補填金で、その他の補填金は切り離して考えるとしてる。 13条が船積み遅れの５％の補填金とすれば １００x0.05=5円 その他、品質クレームから補填される違約金を10円とすると ５＋10＝１５円の補填で、13条に纏わる問題と新たな品質問題は解決されるということですよね。 上記が、契約書が言うところのcase studyです。 何故、この文言が理解しづらいかと言うと、当たり前のことを念を押しているからです。別にこの文言がなくとも、13条で示された問題解決に関しての方程式と、それ以外に生ずる問題は別物であるのは明白で、その他の契約違反があればクレームの対象になるからです。 ですから、13条とarbitration clauseを教えていただければ、もう少しわかりやすい契約書の読み方を示すことは可能になりますよ。

(be) exclusive of ～を除いて［と切り離して］ だから「～と切り離して考えられる」と訳せばわかりやすい。 non-conformity 契約条件に合わない＝契約違反 すれば、例えば、１）船積み遅れも、２）品質が悪いのも契約条件に合っていない。 だから、13条に述べられた契約違反に対するremeddies賠償または補填は（例えば、納期が1ヶ月遅れた場合は、品物代金の５％を、売手は買い手に返すと言うことであれば） 「納期遅れ（の補填）は、その他の契約違反（品質が劣っていた補填）とは切り離して考える。」 これが意味することは、納期遅れは13条に示された解釈により、問題が処理（品物代金の５％が補填）される。しかし、品質問題やその他の契約違反は別物で、契約書に明記されていない限り、arbitration条項に従って解決される。一般的には、問題が生じた場合は両者はamicable settlementに至るように最大の努力をするが、それでも、和解に達せない場合は、・・・・・・・とかかれてあるはずです。

・Unless otherwise agreed in writing 書面での合意がない限り ・remedy(複数形がremedies） 救済措置、救済手段 ※相手方当事者に契約違反があった場合に，被害当事者が取り得る対抗手段を定めるときに使用する用語。 ・according to this Clause 13 本13項に準じた ・exclusive of 含まない ・non-conformity 契約不適合 上記を踏まえると 「書面での合意がない限り、他のいかなる契約不適合に対する救済手段も本13項に準じた救済措置には含まないものとする」という意味ではないかと考えます。

こんにちは。 今、英文契約書の和訳をしているのですが、どうしても解釈にとまどっているところがあり、助けて頂きたく思います。 完璧な和訳でなくても良いので、大体の意味をつかみたいです。 以下の文章です。 No Waiver（権利不放棄） No failure or delay of one party to require performance by the other of any provision of this Agreement shall in any way adversely affect such party's right to require full performance of such provision after that, unless expressly made by that party in writing. No waiver by one party of a breach of any provision of this Agreement shall be taken to be a waiver by such party of any suceeding breach of such provision. 少しでも分かる方、お力を貸して下さい！ 宜しくお願いします。

下記の英文が訳せませんでした。 お力添えお願い致します。 "The failure or delay of either Party to require performance by the other Party of any provision of this Agreement shall not affect its right to require performance of such provision nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy." 感覚的な解釈ですが、、、 怠慢や遅延によって、一方の契約者が相手の債務不履行を指摘しなかったとしても、権利放棄にはならない、と言う事を言いたいのだと思いますが、"nor shall ～power or remedy."までがうまく和訳できません。 また、そもそも、私の解釈が正しいのかも確証が持てません。 要所だけでも構いませんので、和訳をお願い致します。

(1)In the case of emergency, leave the building as quickly as possible (unless otherwise instructed). 「それ以外の指示がない場合には」 この括弧内のotherwiseなんですが、副詞で「その他の点では」[in every other respect]と同じ意味に属するのでしょうか？ ジーニアスには、「その他の点では[in every other respect]」の項目 の例文に (2)Books are in good condition unless otherwise stated.という(1)の例文に近いものがありました。 (1)(2)とも「そうではないと」という訳語を当てはめればしっくり来るのですが。in every other respectをそのように訳出しても良い繋がりが分かりません また語順でもotherwiseは(1)(2)共に過去分詞の後に来るのではないかと思うのですが、どうでしょうか？ 英語にお詳しい方よろしくお願いします！！！

契約書の中の一文（原文を少々変えてあります。）ですが、unless以下、特にshall have waivedをどう解釈したらよいのかわかりません。 This agreement shall terminate automatically, if there is a substantial change in the ownership of either party, unless the other party prior to such change, shall have waived in writing the application of this provision as to such change.
