「Entity」とは何を指すのか？
- 英文契約書で使用されるEntityは、自然人も含んだ表現であるかどうかについて疑問があります。
- 「Party A shall have the right to assign the project to whichever entity Party A thinks appropriate.」などの表現では、人間も含まれるのでしょうか？
- 個人（人間）や法人、団体その他の組織を包括的に表す言い回しについてもアドバイスをいただければと思います。

本来は哲学用語で「実体」という意味です。最近の使い方は社会的な用法にまで広がって、自分はこう名乗っているが、社会的にはその存在は認可されていない場合などに使います。社会的には認められていない存在、しかい確実に実体としては存在するという使い方です。 ですから、あえて訳すならば「実在するもの・物・者」ということになりますでしょうか。ですがビジネスでは、結構社会的に認められた「実体」に使われることが多いようです。その時は「事業体」「組織」などと訳すべきでしょう。 http://waei.hounavi.jp/ej_search_entity.php パレスティナは国家としては認められてはいないが、"entity"「実体」としては存在する。つい最近そのような使い方のニュースがありました。 http://detail.chiebukuro.yahoo.co.jp/qa/question_detail/q1470539719 法的に捉える場合は上の両者の考え方を念頭に、何が具体的な場面で最適か、用語を選ぶ必要があります。

契約書の中の一文（原文を少々変えてあります。）ですが、unless以下、特にshall have waivedをどう解釈したらよいのかわかりません。 This agreement shall terminate automatically, if there is a substantial change in the ownership of either party, unless the other party prior to such change, shall have waived in writing the application of this provision as to such change.
