ANo.#2です。 肝心の例文を訳していませんでしたね。 >failure by buyer to insist upon strict compliance to the terms of this Purchase Order is not a waver of the term. ここは多分"waver"ではなく"waiver"と思います。 「買手が本発注書に於ける取引条件を売手に対し遵守する事を主張しない場合であっても、これらの取引条件に於ける買手の権利放棄とみなしてはならない。」 以上、ご参考まで。

海外代理店契約の一部、Security Interestに関する条項の記載です。 If the Company shall require obtaining possession by judicial process, the Buyer expressly waives any right to require the Company to post any security as a precondition to securing a judicial order granting immediate repossession. ソフトウェアの代理店契約書を解読しています。 「PRICING AND PAYMENT」という条項がわかりにくく、助けていただきたいです。 きっちりと翻訳する必要はなく、意味がわかればよいので教えてください。 OWNER shall not be obligated to consider accepting any order placed by DISTRIBUTOR unless, prior to or together with such order being placed by DISTRIBUTOR, DISTRIBUTOR shall make payment to OWNER in an amount equal to twenty percent (20%) of the aggregate price of such order, determined with reference to the prices set forth in Schedule “B” hereto. 発注の際に流通業者がスケジュール"B"で定められた価格に基づく支払い総額の20%を所有者に支払う必要があり、それが完了するまでは所有者は注文を受ける義務はない という意味でしょうか？ かなり流通業者に不利な内容に思えます。 どなたか、この解釈であっているか教えてくださいますでしょうか。
