英文契約書 和訳
英文契約書の勉強をしています。 以下の文章の和訳をお願いできませんか？ 取引条件の項目になります。 特に the accepted order shall constitute and individual sale and contract 以降が良く分かりません。 また with respect to PRODUCTS so ordered とありますが、ここの so はどのようなことを指しているのでしょうか？ No order shall bind on "Company A" unless and until finally confirmed and accepted by "Company A" in wrinting. Upon acceptance by "Company A", the accepted order shall constitute and individual sale and contract with respect to PRODUCTS so ordered under the terms and conditions provided in this Agreement.

質問者が混乱されると思いますので、蛇足ですが。 No.2の方の回答でほぼ言い尽くされています。 敢えて「てにをは」を変えれば、 ＜A社の受諾により、受諾された注文は、本契約の契約条件に定められた 内容で注文された(so ordered)本製品に関し、本製品に関する個別の販売と 契約を構成するものとする。＞ でしょうか。 「受諾された注文は、本製品に関する個別の販売と契約を構成するものと する。」が骨組みです。 ＜承諾された注文は、本契約に定められた諸条件に沿うように注文された PODUCTSに法り、個別販売契約として成立されたと見なされる。＞ では、「PODUCTSに法り、」の表現が制限条件の様で違和感を感じます。 「受入れ検査」や「検収条項」の表現と紛らわしいところがあります。 「承諾された注文は、個別販売契約として成立されたと見なされる。」 の文構造も違和感の一因かと思います。

タイプミスだったとすると、拙い訳で申し訳ありませんが、概ね以下のようになるのではと 最終的にA社の確認と書面による受諾がなされるまでは、いかなる注文（命令、規定）もA社を拘束しないものとする。 A社が受諾し次第、受諾された注文（命令、規定）は、本契約の契約条件に定められた内容で本製品に関する個別の販売と契約を構成するものとする。 order が、私の拙い英語力では、注文なのか、命令なのか、はたまた規定なのか決めかねます。 また、注文（命令、規定）が、個別の販売と契約を構成するというのは、自分でも何を言っているのかよくわかりません^^;

特に良く分からないと言われている部分ですが、タイプミスではないですよね？ the accepted order shall constitute and individual sale and contract ・・・ ⇒ the accepted order shall constitute ”an” individual sale and contract これが”and”で正しいとすると、”constitute ”の目的語が良く分かりません。お手上げです。 ”so”は、「本契約の契約条件に定められた内容で」ということではないのでしょうか。

The terms of such common agreement or individual contracts, as the case may be, shall, wherever in-consistent, with or absent in this agreement, shall supersede this agreement." 下記は私が翻訳した文章ですが、"a separate common agreement "や"as the case may be, shall, "の箇所がうまく訳せませんでした。 特にshallは以降のshall supersedeと重複している様に感じるのですが、shallの直後に動詞が省略されているのでしょうか。 「しかし、各個別契約に共通する任意の詳細は、別途、事前に合意され、共通の同意または各個別契約に組み込むことができる。矛盾や存在しない項目がある際は、場合によって、この共通の合意や個別契約の詳細が優先されなければならない。」 お力添えどうぞよろしくお願い致します。

英文契約書の勉強を続行しています。この間質問にお答えいただきましたが、また分からない文章にぶつかりました。executedやdeemed to constituteなどの訳し方がさっぱりわかりません。どなたかご教授いただければ、ありがたいです。This agreement may be executed in any number of counterparts and any single counterpart or set of conterparts signed, in either case by all the Parties hereto shall be deemed to constitute a full and original agreement for all purposes. constituteは構成するという意味だと思うのですが、すべての目的において、完全で当初の契約を構成するというような、中途半端な訳しかできない状態です。どうぞ、よろしくお願いします。
