Assignability This agreement may not be assigned by any party to any person, firm or corporation, nor may any party transfer or assign or attempt to transfer assign any right or tnansfer or delegate any obligation or responsibility under this agreement to any person, firm or corporation without the prior written consent of the other party. 私の稚拙な訳は以下です。 譲渡性 本契約は、どちらの当事者からも、あらかじめ他方の当事者の書面による同意を得ること無しに、他人、他の会社または企業及び第三者に、譲渡されず、本契約の下、あらゆる権利の移譲、譲渡あるいは譲り渡しの試み、あるいはあらゆる義務あるいは責任を、他人、他の会社または企業に移譲、委任する可能性は無いとする。 ご指導ご鞭撻の程をよろしくお願いいたします。

意味は良く取れていると思いますし、訳文も余り問題ないと思いますが、以下コメントします。 "may not～"は、禁止・不許可なので「譲渡されず」「委譲、委任する可能性はない」はどちらも、してはならない、にします。 "attempt"が日本語になりにくいですね。よくある表現で、要は、実際に譲渡しなくても、それを準備・交渉したりすることもダメという意味なので、「あらゆる権利の移譲、譲渡あるいは譲り渡しの試み」は「あらゆる権利の移転・譲渡は、それらを企図することも含めて．．．」とします。 "under this agreement"は単純に「この契約の」でいいと思います。

11. Survivability. Each party agrees that all of its obligations undertaken herein as a Receiving Party shall survive and continue to survive 3 (three) years after the termination or expiration of this Agreement. 12. Governing Law and Arbitration. Basic Purchase Agreementの文中にうまく和訳できない部分がありました。 この項目では、第三者への損害に関してを扱っています。 "Indemnify and keep the other party indemnified against any loss, liability or claim that may be made against them by any person whosoever consequent or on in respect of such damage." 上記中、"by any person whosoever consequent or on in respect of such damage"の部分が特に解りませんでした。 取りあえずの和訳は下記の通りです。 「このような損害に関して、第三者が被ったいかなる損失、債務または要求に対して補償し続けることとする。」 訂正頂ければ幸いです。 よろしくお願い致します。

以下の英文がわかりませんでしたので、和訳をお願い致します。 この文面はJurisdiction(管轄権)に関する物です。 "The parties irrevocably and unconditionally submit to and accept the exclusive jurisdiction of the civil courts of Bangkok, for any action, suit, or proceeding arising out of or based upon this Agreement or any matter relating to it, and waives any objection either party may have to the laying of venue in any such court or that such court is an inconvenient forum or does not have personal jurisdiction over either party." 上記の文中特に"waives"以降の文章が解りませんでした。 このwaivesは動詞だと考えたのですが、submitやacceptの主語となる"The parties"が複数形なので、どれが主語に当たるのか混乱しています。 また、"the laying of venue ～ either party."の箇所もうまく訳せません。 裁判所の場所に関することだと思うのですが、よくわかりませんでした。
