契約書の意味について教えてください
- 契約書に記載されている英語が分かりづらい場合があります。
- 具体的には、「PRIVATE and CONFIDENTIAL」という表現や、「This Sale and Purchase Agreement is entered into and executed on this 4th January 2010 and between the following parties」といった文言が意味を理解しづらいです。

Basic Purchase Agreement(取引基本契約？）を訳していますが、下記の部分でつまずいてしまいました。 "In principle, the price of every delivered article shall be agreed between the Parties based on the quotation and its supporting documents submitted from Supplier in writing or in electronic form to AAA." この文章に出てくる"delivered article"とは納入品と訳せば良いのでしょうか、それとも条款のことを指しているのでしょうか。 よろしくお願い致します。

(1) The parties to the contract must be legally competent; 上記の文について質問です。「契約当事者が法的な資格を備えていること。」という意味だと思うのですが、"parties to the contract"の部分のtoがしっくりきません。"parties in the contract"ではなくて、toなのは何故ですか？また、inだと間違い/不自然ですか？ (2) It must be in writing if a written document is required for that kind of contract. 手元にある日本語訳が、「契約の種類に応じて書面契約が要求される場合は、書面で作成されること。」となっています。 "that kind of contract"の部分が、「契約の種類に応じて」となっているのですが、何故このような訳になるのですか？「その種の契約が必要な場合」だと思ったのですが・・・。 また、ここは、英語とは離れてしまうのですが、署名契約が要求されたら、書面で作成されるのは当たり前だと思うのですが、わざわざ定義するほどのことなのでしょうか？ 以上 よろしくお願いします。
