英文契約書 MAY
All notices which may be given by either party to the other party shall be in writing and shall be sent by one of the following means. 契約書の1文から質問させていただきます。"may be given by"の"may"は、どのようなニュアンスで使われているのですか？ all notices given by either party....だと、不自然でしょうか？間違いでしょうか？

All notices which may be given by either party to the other party shall be in writing and shall be sent by one of the following means. ポイント(1) 先行の方ご指摘の通り「～かも知れない」という意味合いがある一方で、契約によっては仲介者を通さないと当事者同士では交信できない場合もありますから、「May＝～しても構わない ⇒ 容認」で「（下記の段取りに従えば）当事者間で通知をすることは構わない」というニュアンスがあると考えます。 しかしmayにあまり拘（こだわ）らないで、「契約期間中に渡って両当事者がお互いに通知をする（必要がある）際には」という訳でよろしいかと思います。 ポイント(2) all notices given by either party.... ＞これでも不自然ではありませんし、充分意味は通じると考えます。ただこれだと、mayと言わない分、「当事者同士による通知の応酬が当たり前の如く起きるような取引・契約」という感じがしますよね。契約というのは大抵、「契約条項が遅滞なく履行されている間は、債権者・債務者に対して通知することもない」ものですから、mayと入れることによって、「もし相手に告知すべき事柄が発生したのなら、こういう風にすることで通知することができます」という意味合いになりますよね。 ご参考までに。

A No.1さんが２行目に書かれている「発生するかどうかわからないが、もし発生したならばこう対応する」に同意します。記録として残したい「お知らせ」「覚書」が「発生するかもしれない」けどその場合は書面にてやり取りしてください。ただし記録として残したくない場合は書面にしなくていいですよ、ということで両者の権利を保障しています。 質問者さんのall notices given by either partyは文法的には間違っていないと思いますが、mayがないために「記録に残したくないものもすべて書面にしてやり取りする必要がある」ということになり意味が少し変わってくると思いますがいかがですか？ 最後にA No.1さんへの横槍のようになって申し訳ありませんが、質問の英文は「書面で行うか、以下の手段で通知する」という並列ではなく、「書面で行い、以下の手段で送付する」であると思います。 また、契約書のような文面では相互の誤解を防ぐために、「だれがなにをどうしてこうしてそうなる場合、こう行うこと。」という構成で、「こう行うこと。」の後に「だからこうしてどうして」というような補足説明は通常続かないのではないかと思いますが、いかがでしょうか？ 従って、by either party to the otehr parthなどの表現はShallの前に来ると思います。あくまで契約書などの「お堅い文面」の場合ですが。 以上、ご参考まで。

『一方の当事者が相手方に対して通知をする「ことになった場合」は、書面で行うか、以下に記載のいずれか一手段によって通知するものとする。』 当事者間で通知をしなければならないような事態が発生するかどうかわからないが、もし発生したならばこう対応するでしょう、という意味合いが may として含まれているのでしょう。 ただ、違和感をお感じのように、shall be の部分でそういうニュアンスが表現されているので、 All notices shall be given in written form from either party to the other party or shall be sent by one of the following means. で構わないと考えます。

英文契約書でわからない箇所がありましたので質問致します。 "Neither the Company nor the Servicer shall be in default for non-performance of their obligations due to any event beyond the reasonable control of either party." とありますが、この場合、shall be in default は債務不履行にあたると言うことを意味しているのでしょうか？ また、下記の分を和訳しましたがあっているでしょうか？ "The non performing party shall give notice and full particulars of such cause or causes in writing to the other party as soon as possible after the occurrence of the force majeure event." 「非履行者は、不可抗力が発生した際は直ちにもう一方の当事者に通知し、その詳細を書面にて通達しなければならない。」 どうぞよろしくお願い致します。

こんにちは。 今、英文契約書の和訳をしているのですが、どうしても解釈にとまどっているところがあり、助けて頂きたく思います。 完璧な和訳でなくても良いので、大体の意味をつかみたいです。 以下の文章です。 No Waiver（権利不放棄） No failure or delay of one party to require performance by the other of any provision of this Agreement shall in any way adversely affect such party's right to require full performance of such provision after that, unless expressly made by that party in writing. 英文契約書の勉強を続行しています。この間質問にお答えいただきましたが、また分からない文章にぶつかりました。executedやdeemed to constituteなどの訳し方がさっぱりわかりません。どなたかご教授いただければ、ありがたいです。This agreement may be executed in any number of counterparts and any single counterpart or set of conterparts signed, in either case by all the Parties hereto shall be deemed to constitute a full and original agreement for all purposes. constituteは構成するという意味だと思うのですが、すべての目的において、完全で当初の契約を構成するというような、中途半端な訳しかできない状態です。どうぞ、よろしくお願いします。

下記の英文が訳せませんでした。 お力添えお願い致します。 "The failure or delay of either Party to require performance by the other Party of any provision of this Agreement shall not affect its right to require performance of such provision nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy." 感覚的な解釈ですが、、、 怠慢や遅延によって、一方の契約者が相手の債務不履行を指摘しなかったとしても、権利放棄にはならない、と言う事を言いたいのだと思いますが、"nor shall ～power or remedy."までがうまく和訳できません。 また、そもそも、私の解釈が正しいのかも確証が持てません。 要所だけでも構いませんので、和訳をお願い致します。

今、英語から日本語への機密保持契約（双方）をしていて、どうしてもしっくりこない訳がありますので、私の和訳を添削戴ければ助かります。 1.The receiving Party, compelled to disclose shall ensure, insofar as it is able to procure the same, that any such disclosure will be limited to the minimum amount of Confidential Information required to satisfy that disclosure obligation. 「いずれの当事者も、その責に帰すべき事由により他方当事者に損害を与えた場合、責任を負う」という日本語の英訳は「Either party shall be held liable for damages incurred by the other party due to causes attributable to such either party.」みたいになるのでしょうか。 最後の「such either party」の部分が合っているのか不安です。 「当該のいずれの当事者」は、英語でどう言えば良いのでしょうか。 正しい訳がありましたら教えてください。 よろしくお願いします。
