- 守秘情報契約書の訳に関して、特に「as a grant of」の意味がわかりにくい。
- 「Nothing in this Confidential Agreement shall be construed as a grant of or as any agreement to grant any right (whether expressed or implied) or transfer any property in the whole or any part of the Confidential Information.」という文の正しい訳を教えてください。

Use of information:For a period of three(3) years after the date of this agreement, the Recipient undertakes in relation to Confidential Information received from the Discloser or from any of the Discloser's Representatives; 受領者は、契約の日付から3年間、開示者あるいは開示者の代表のいずれかから受け取った機密情報に関して責任を負う。 2.2 not to copy or reduce to writing any such Confidential Information except as may be reasonably necessary for the purpose pursuant to Clause 2.1 above. 上記条項2.1に従って目的に合理的にそして必要な場合を除き、いかなる秘密情報をもコピーしたり書き加えたりしないこと。 2.6 to maintain a list of Representatives to whom any Confidential Information is disclosed and to make such list available to the Discloser or request. ※まったく文章をつなげることが出来ません…。 上記二つの文は間違っているとは思いますが、訳をつけてみました。最後の一文は文章にすることができませんでした…。 「2.Use of information:」はそれに続く各条項の主語になるのでしょうか。それとも一般条項の名称として考え、あとの文につなげることは不要でしょうか。 また、「2.Use of information:」の最後の単語「any of the Discloser's Representatives」は各条項の主語にすべき単語なのでしょうか。 まったくの初心者で説明も不十分かと思いますが。よろしくお願いします。

Each Party (the “Recipient”) hereby agrees (a) that all Confidential Information (as defined below) of or relating to the other Party (the “Disclosing Party”) disclosed or communicated to the Recipient orally, in writing or in any other manner (including, but not limited to, demonstrations and plant visits), whether before or after the Effective Date, will be held in strict confidence and, except as expressly permitted herein, will not be disclosed to any other person or entity, (b) that the Recipient will use the Disclosing Party’s Confidential Information solely for the Purpose, (c) that the Recipient will safeguard the secrecy of such Confidential Information by following procedures at least as stringent, and with not less than a reasonable degree of care, as those used in safeguarding its own valuable confidential information and trade secrets and (d) that, other than as agreed to by the Recipient and the Disclosing Party, the Recipient shall not make any changes, modifications or enhancements to the Confidential Information, or reverse engineer, decompile, disassemble, alter, modify, or create any derivative work from such Confidential Information. Notwithstanding the foregoing, the Recipient (i) may disclose the Disclosing Party’s Confidential Information to third party testing facilities used for regulatory compliance testing and certification bodies (collectively, “Representatives”), having a need to know such Confidential Information in furtherance of such Purpose (which, if △△ is the Recipient, shall be limited to its product stewardship group and such testing facilities), (ii) shall inform all such Representatives at the time of disclosure of the confidential nature of the Disclosing Party’s Confidential Information and the limited Purpose hereunder, (iii) shall require each such Representative to abide by the terms of this Agreement with respect to the Disclosing Party’s Confidential Information and (iv) shall be liable for any breach by its Representatives of such obligations.

初めて守秘義務契約書の訳を行っているですが、なかなか言い回しが複雑で苦労しております。よろしければ以下の部分に関しまして、ご教授願えればと思います。 5.3にてConfidential informationから除外される情報がいくつか示された上で、以下の文章が次に来ていました。 Exceptions: For the purpose of Section 5.3, no information which is specific shall be deemed to be within any of the forgoing exceptions merely because it is embraced by more general information which falls within any one or more of the foregoing exceptions. Further, any combination of features shall not be deemed to be within any of the foregoing exceptions merely because the individual features fall within any one or more of the foregoing exceptions, but only if the combination itself falls within any of the foregoing exceptions. より一般的な情報に含まれる情報は除外されるといった意味合いを何となく感じるのですが、しかしそれは既に5.3に示されている除外事項の一つやし。。。？といった具合です。何卒宜しくお願いいたします。

長文を勉強しているのですが、There's room for secrecy in a sole proprietorship whether it's a matter of formula or process or a list of clients and as with any secrets, as you well know, the fewer who know, the less the risk of someone divulging the information.この文章の訳をお願いいたします。andで前後の文を分けるのだとは思うのですが、意味を拾っていけばますますわからなくなってしまいました。as withとは、この場合、as is often the case withの略だと考えても良いのでしょうか？教えていただきたいと思います。
