ライセンス契約の英文が、詰まって訳せません...
下記の英文が、契約関係に疎い素人には難しくて訳せません... どなたか助けて下さい。 Licensee may terminate this licence by giving sixty (60) days written notice of such termination. Such termination shall not serve to pro-rate or otherwise diminish the Licence Fee for the year in which the notice is given. 前半は、「契約が切れる60日前に通知しなくてはならない」でしょうか？ また後半の、「pro-rate」もよく判りませんし...

前半は、 「ライセンシー（ライセンスを受けている側）は、ライセンスを終了させたい日の60日前までに書面で通知することにより、そのライセンスを（ライセンス契約の内容・期間に関わらず）終了させることができる。」 “may”は、契約書の中では「～することができる」と訳します。 後半は、「その終了は、その通知がされた年のライセンス料を、比例またはそれ以外の方法で減額するものではない。」（やや意訳） “pro-rate”は、“pro rata”だと思います。「～に比例して」という意味です。 英文契約を読んだことはありますが、現在は扱っていないので「自信なし」です。

文章の意味は次のような内容だと思います。 文書による通告を行ってから６０日でこのライセンスは終了する。注意）あなたが通告するのか，契約先が通告するのか，はこの文章だけを出してきただけでは解からない。 契約の終了は，通告される年（the year)に対するライセンス料の（残った期間分）比例的に軽減（pro-rate)することでも，値引くことでもない。 注意）pro-rateもdiminishも同じような意味。 日本語が適切かどうかは解かりませんが，「文意」は分かると思います。 なお，契約条項の一部を出してきただけでは前述したように，適切に訳すことは困難。せめて，どのような内容の契約に対する質問で，理解できない部分の「頭にある」契約条項くらいは付けてください。

これだけでは、契約文書だと分かるだけで、正確な意味は分かりませんので、「自信なし」とします。 pro-rate は、prorate と辞書に載っていますが、「比例配分する」というような意味です。また「契約が切れる」のではなく、「契約解除の申し出＝契約終結」です。 Licence を「特許」と訳します。実際は、何かの許可なのですが、何か分かりませんので。Licencee は、「使用許諾者」ですが、「特許使用権者」とします。適宜訂正してください。 意味の大意は： 特許使用権者は、終結を明示する、書面による通知を六十日前に提出することで、本契約を終結することができる。 このような終結によって、通知が提示された年度の特許使用料金を日割り（注：使用期間比例割り）にしたり、または額を減らすことは受け入れられない。 shall not serve to は、「有効でない、役に立たない」ですが、意味的には、「受け入れられない」となります。日本語は工夫してください。

先ほど質問させていただいたものです。 同じ雇用契約書の中で、The Appointment shall continue until the agreement terminates on XXXX without the need for notice unless previously terminated by either party not giving less than 2 months notice expiring at anytime. という文章があるのですが、意味としては「雇用契約（appointment)は本契約が通知を必要とすることなくｘｘｘｘ日に満了するまで継続する。但しいずれかの当事者によって、満了日より前に、いつでも期間満了となる、満了日より2ヶ月以内の通知をせずに、解除された場合はその限りではない。」ということでしょうか？日本語で書いてても今ひとつ意味がよく分かりません。 partyとgivingの間のnotがなければまだ意味が分かるのですが。。また、expiring at anytimeはnoticeにかかるのでしょうか？ どなたかご教示宜しくお願いします。

英語カテゴリと迷ったのですが、暮らしに密着した質問なので、こちらのカテゴリにしました。よろしくお願いします。 アメリカ在住です。昨年５月に現在のアパートに入居し、１年の賃貸リース契約を結びました。要するに「１年は自由に退去できない“しばり”」があったわけですが、一般的に、１年過ぎた後はどのような形になるのでしょうか？ 新たに契約書を交わすのですか？ 昨年契約を結ぶ時にも、そのことを大家さんに聞きましたが、「月払いに切り替えたいというケースが一番多いけど、まあそれはまたその時に。レントは今のままで据え置きになると思う」という程度の説明でした。 しかし、期限が迫っても大家さんからも特に何も話がないので、気になって契約書を丁寧に読み返してみました。お恥ずかしいのですが、こういった不動産契約の文面は読み慣れないため、ある程度意味は取れても細かいニュアンスに自信がなく、正直「分かった」とは言えない状態です。万一、リース期限をもって追い出されるようなことがあっては、泣くに泣けません・・・ こちらでの賃貸契約の慣例なども含めて、私の置かれた状況を解説していただけましたら有り難く存じます。 以下、契約書の抜粋です。 1. All other terms and conditions as outlined in this Agreement shall remain in full force and effect. リース契約ですので、Ｂのほうに＊（チェック）が付いています。私は当初、(iii)の部分に着目して、「６月のレントをいつも通り支払った時点で、Ａの月払いに自動的に移行するのだ」と考えていたのですが、よく読み返してみると、「Tenant shall be required to vacate the Premises unless ～」のところが、「特に何もなければ退去しなければならない」という意味にも取れ、とても不安になってしまいました。 長文すみません。どうぞよろしくお願い致します。今、とても引っ越しができる状況ではないので、追い出されることになったらどうしようかと、冷や汗をかいております・・・

英文契約書でわからない箇所がありましたので質問致します。 "Neither the Company nor the Servicer shall be in default for non-performance of their obligations due to any event beyond the reasonable control of either party." とありますが、この場合、shall be in default は債務不履行にあたると言うことを意味しているのでしょうか？ また、下記の分を和訳しましたがあっているでしょうか？ "The non performing party shall give notice and full particulars of such cause or causes in writing to the other party as soon as possible after the occurrence of the force majeure event." 「非履行者は、不可抗力が発生した際は直ちにもう一方の当事者に通知し、その詳細を書面にて通達しなければならない。」 どうぞよろしくお願い致します。

下記の和訳をお願いします。 "In the event that the company fails to pay any amount payable hereunder as and when such amount becomes payable and such failure continues for a period of more than 30 days after the due date and whenever there shall be a breach of any provisions of this agreement by the company, the Servicer may terminate this agreement and shall be compensated for all costs and damages that may be incurred and suffered by the Servicer." 上記の文中で特にわからないのは、"whenever there shall be a breach of any provisions of this agreement by the company"と言う部分で、支払いの不履行と同時に何らかの規定違反がなければ弁済は免責されるという事でしょうか？ 因に以下が私の和訳です。 よろしくお願い致します。 「『会社』がこの記載に従った支払いが満期を迎えても行わず、それが支払い期日を30日以上過ぎても継続して行われなかった場合、かつ、本契約のいずれかに規定違反がある場合、サービサーはこの同意契約を終了し、被った費用及び損害全てを弁済されなければならない。」
